  1. In these Conditions, "the Seller" means "Ailsa Wood Products", "the Buyer" means the person whom the goods are to be invoiced and (unless the contest otherwise requires) any person to whom or for the benefit of whom the goods may be delivered and "the Goods" means the goods, which are the subject of this contract.
  2. These Conditions are the only conditions upon which the Seller is prepared to deal with the Buyer and they shall govern this Contract to the entire exclusion of any other express or implied conditions.
  3. These conditions embody the entire understanding of the parties and supersede any prior promises, representations, undertakings or implications.
  4. Ailsa Wood Products is a trade only site. Minimum order is £400 which is carriage paid - excludes pallet deals.
  5. If the Buyer submits an order containing terms inconsistent with or purporting to override these Conditions the Seller's acknowledgement or acceptance of the order shall constitute a counter-offer on these Conditions.
  6. The right is reserved to alter/modify Seller's products specifications without prior notice. Dimensions are approximate and are given for general guidance only. These conditions constitute the entire agreement between the Buyer and the Seller; no employee or agent of the Seller has authority to vary these conditions or to make any representations whatsoever concerning the products sold by the Seller.
  7. The Buyer may not cancel orders accepted by the Seller. Goods correctly supplied against the Buyers order cannot be returned.
  8. Credit accounts are available for corporate customers against approved references. In the case of sales to Buyers who do not qualify for credit accounts, payment must be made in full before despatch of any goods.
  9. While we try to ensure that all prices on our website are accurate, errors may occur. If we discover an error in the price of items you have ordered, we will inform you as soon as possible and give you the option of reconfirming your order at the correct price or cancelling it. If we are unable to contact you, we will treat the order as cancelled.
  10. When the Buyer submits an order through our website, Ailsa Wood Products considers this to be an offer to purchase. If the offer is accepted, only when Ailsa Wood Products despatch the goods will a contract be formed.
  11. The Seller reserves the right, by written notice at any time before despatch, to vary the price of the Goods to take account of any increases in the cost of materials, packing, transport or wages. The price of the Goods is exclusive of Value
  12. Unless otherwise agreed in writing, payment shall be due in full not later than 30 days from the date of invoice. If any payment becomes overdue the Seller may charge interest at 4% over Clydesdale Bank PLC base rate from the due date until payment.
  13. The Seller reserves the right to suspend deliveries and to withdraw credit provisions if any payment becomes overdue, if the Seller has reason to believe that the Buyer may be unable or unwilling to pay for the goods or if the Buyer is trading beyond his agreed trading limit.
  14. A charge of £20 will be made in respect of each instance of a returned or represented cheque. The Seller reserves the right to refer overdue accounts to their solicitors and the Buyer should reimburse the Seller for any legal costs thereby incurred.
  15. Unless the Seller otherwise agrees, delivery shall be made to the Buyer's premises.
  16. Stated delivery times are estimates only and shall not be binding upon the Seller, which shall not be liable for any costs or damage caused by reason of any delay in delivery. Time of delivery shall not therefore be of the essence of the Contract and the Buyer shall accept delivery of the Goods when tendered.
  17. The risk in the Goods shall pass to the Buyer when the Goods are tendered for delivery at the Buyer's premises. In the event that the Buyer collects the Goods from the Seller's works the risk in the Goods shall pass to the Buyer when they are tendered by the Seller for collection by the Buyer or his carrier or other agent.
  18. Goods must be examined and checked by the Buyer on delivery. Any shortages or damages must be endorsed on the carrier's receipt and any such shortage, damage or otherwise any defect in the goods as delivered shall be notified to the Seller within 3 days of the time of delivery.
  19. Until full payment has been made of all sums outstanding from the Buyer to the Seller:
    (i) the property of the Goods shall remain in the Seller and the Seller shall hold the Goods as bailee
    (ii) the Seller may at any time repossess the Goods and the Buyer hereby grants the Seller an irrevocable licence to enter upon premises occupied by the Buyer for the purpose of so doing
    (iii) the Buyer shall keep and store the Goods in such a manner that they can be identified as being the property of the Seller
    The Seller may maintain an action for the price of the Goods notwithstanding that property in the Goods may not have passed to the Buyer.
  20. It is the Buyer's responsibility to determine that the Goods are sufficient and suitable for the purpose to which they are to be put. The Seller shall in no way be liable for any direct or consequential damage, loss or expense arising form any defect or inefficiency caused by the manner in which the Goods are used.
  21. The Seller shall not be liable for any loss or damage caused by delay in the performance or non-performance of any of its obligations hereunder where the same is occasioned by any cause whatsoever that is beyond the Seller's control including but not limited to an Act of God, war, civil disturbance, requisitioning, government or parliamentary restrictions, prohibitions or enactment of any kind: import or export regulations, strike lock-out, or trade dispute (whether involving its own employees or those of any other person): difficulties in obtaining workers or materials: breakdown of machinery; fire, or accident. Should any such event occur the seller might cancel or suspend their Contract without incurring any liability for any loss or damage thereby occasioned.
  22. We do not guarantee that this website will be compatible with your PC and we accept no liability for any corruption or loss of data held on your PC, or any liability for any other loss or damage of any kind caused to your PC resulting from use of this website.
  23. Privacy Policy - Ailsa Wood Products do not disclose buyers information to 3rd parties.
  24. Our website uses Session cookies to retain user information supplied from login details. This information is stored only temporarily in the buyers pc memory, and is relevant only to the current order being placed. The session cookie expires after 30 minutes of inactivity, or when the buyer logs off from the website. Expiry of the session cookie removes the temporarily stored details from the Buyers pc memory.
  25. This Contract and these Conditions are governed in all respects by and in accordance with the Laws of Scotland and the Buyer hereby submits to the non-exclusive jurisdiction of the Scottish Courts.
